Privacy Policy

 

1.    Scope of Policy. 
This Privacy Policy (this “Policy”) describes how Nova Technology Holdings, LLC, together with each of its operating subsidiaries, affiliated product brands, and websites, platforms, and applications that post or link to this Policy (collectively, the “Company,” “we,” “us,” or “our”), collects, uses, discloses, stores, and otherwise processes Personal Information in connection with our websites, hosted software, AI-enabled video products, communications tools, related services, and any other products or services we make available (collectively, the “Services”). This Policy applies to information collected from website visitors, prospective customers, customers, customer personnel, authorized users, campaign recipients, and other individuals whose information is processed in connection with the Services. By accessing, using, subscribing to, or interacting with the Services, you acknowledge that you have read and understand this Policy.

 

2.    Relationship to Customer Agreements and Customer-Controlled Data. 

In many cases, the Company provides the Services to business customers pursuant to a subscription agreement, order form, statement of work, or other commercial contract. Where we process Personal Information on behalf of a customer in connection with that customer’s use of the Services, we do so as a service provider, processor, or contractor acting in accordance with that customer’s instructions and the applicable contract. In those circumstances, the customer controls the scope of the Personal Information submitted to the Services, the purposes for which it is used, and the recipients to whom communications are sent. If you are an end recipient of a campaign or communication sent through the Services on behalf of one of our customers, your information may be subject to that customer’s own privacy policy and practices, and requests relating to such customer-controlled data should generally be directed to the applicable customer in the first instance.

 

3.    Categories of Information We Collect. 

Depending on the nature of your interaction with the Company and the Services, we may collect Personal Information such as your name, business name, employer, title, mailing address, billing address, email address, telephone number, account credentials, authentication information, subscription and transaction details, customer support communications, preferences, marketing choices, and other identifiers you choose to provide. We may also collect commercial information relating to the products and services purchased or considered, records of customer interactions, internet or electronic activity information such as IP address, browser type, device identifiers, access times, referral URLs, usage logs, and information about how you interact with our websites, emails, and Services. Where relevant to the Services, we may also process customer-provided campaign data, recipient data, content inputs, delivery data, and generated outputs.

 

4.    Customer Campaign Data and Recipient Information. 

When a customer uses the Services to create, personalize, or send video or related communications, we may process data supplied by the customer or by third-party data sources designated or approved by the customer, which may include recipient names, mailing addresses, email addresses, telephone numbers, account or vehicle-related fields, service history fields, preference data, suppression or opt-out indicators, deceased-person indicators, address updates, and other campaign-related data elements. We process this information to render, personalize, deliver, measure, support, secure, and improve the operation of the subscribed Services and related workflows. As between the Company and the applicable customer, the customer is responsible for the accuracy, completeness, currency, and lawfulness of such data and for obtaining any permissions, consents, notices, or other rights required for the Company to process such information in connection with the Services.

 

5.    Likeness, Voice, Biometric, and Persona Data. 

In connection with certain AI-enabled video products, the Services may process images, photographs, video recordings, audio recordings, voice samples, facial imagery, facial geometry, facial landmarks, mannerisms, gestures, or other likeness, voice, persona, or synthetic-media-related inputs and outputs provided by or on behalf of a customer or authorized user (“Persona Data”). We use Persona Data solely to provide, operate, support, secure, and improve the specific Services requested, including generating, rendering, synchronizing, personalizing, transmitting, and managing approved video outputs and related campaign assets. Unless expressly stated otherwise in a separate written agreement, the Company does not use Persona Data to train generalized AI models for unrelated third-party products or services, does not sell Persona Data, and does not use an individual’s likeness or voice in the Company’s own advertising or marketing without the required authorization. Customers remain responsible for ensuring that all Persona Data submitted to the Services has been lawfully obtained and that all required consents, releases, notices, and authorizations have been secured.

 

6.    Information Collected Automatically; Cookies and Similar Technologies. 

When you visit or interact with our websites or Services, our vendors and we may automatically collect certain information through cookies, pixels, SDKs, logs, and similar technologies. This information may include IP address, browser and device characteristics, operating system, pages viewed, links clicked, referring and exit pages, session information, approximate geolocation inferred from IP address, and usage and performance data. We use these technologies to authenticate users, remember settings, maintain session integrity, understand how our websites and Services are used, enhance functionality, support security, troubleshoot issues, measure the effectiveness of communications, and improve user experience. You may be able to control cookies through your browser settings or other available controls, but disabling certain technologies may affect website or Service functionality.

 

7.    How We Use Personal Information

he Company may use Personal Information to provide and administer the Services; establish and manage accounts; authenticate users; process subscriptions, invoices, and payments; provide customer support; configure campaigns; personalize content; generate and deliver video communications; maintain suppression and opt-out records; monitor performance and usage; detect, prevent, and investigate fraud, abuse, security incidents, and other misuse; enforce our agreements and policies; comply with legal, regulatory, contractual, and recordkeeping obligations; communicate with you regarding the Services, updates, security notices, billing matters, and support matters; send marketing or promotional communications where permitted by law; analyze and improve the performance, reliability, security, and usability of our websites and Services; and otherwise operate our business consistent with this Policy and applicable law.

 

8.    How We Disclose Personal Information. 

We may disclose Personal Information to our affiliates and subsidiaries; to service providers, subprocessors, contractors, and vendors that support hosting, cloud infrastructure, storage, payment processing, rendering, analytics, customer support, communications delivery, fraud prevention, security, auditing, and professional services; to the applicable customer or the customer’s authorized users where the data relates to that customer’s use of the Services; to legal, accounting, financing, insurance, and other professional advisers; to government authorities, courts, regulators, or law enforcement where required or appropriate to comply with law, legal process, or the protection of rights, property, or safety; and to actual or prospective buyers, investors, lenders, or counterparties in connection with a corporate transaction, financing, merger, acquisition, reorganization, sale of assets, or similar event. We do not sell customer lists, Customer Content, or Persona Data for monetary consideration, and we do not disclose Persona Data to third parties for their own independent marketing purposes.

 

9.    AI Processing, Automation, and Product Improvement. 

The Services use software, automation, and AI-enabled processes to transform customer-provided inputs and data into personalized video and related outputs. This may involve automated rendering, personalization, voice synchronization, content assembly, campaign logic, and delivery-related processing. We may use Personal Information, usage data, support data, and system-level telemetry to maintain, secure, support, debug, and improve the performance, safety, and reliability of your Services; however, unless otherwise expressly authorized in writing, we do not use Customer Content or Persona Data to create or train generalized models for unrelated third-party use. We may also generate aggregated, de-identified, or anonymized information that does not reasonably identify an individual and may use such information for lawful business purposes, including analytics, benchmarking, security, and product improvement.

 

10.    Legal Bases for Processing Where Applicable. 

Where applicable data protection law requires a legal basis for processing, the Company generally processes Personal Information on the basis of one or more of the following: to perform a contract or take steps at your request before entering into a contract; to pursue our legitimate interests in operating, securing, supporting, and improving the Services and our business, provided those interests are not overridden by applicable legal rights; to comply with legal obligations; and, where required, based on your consent. If we rely on consent for a particular processing activity, you may withdraw that consent as permitted by applicable law, although such withdrawal will not affect the lawfulness of processing conducted before the withdrawal became effective.

 

11.    Retention of Personal Information. 

We retain Personal Information for as long as reasonably necessary for the purposes described in this Policy, including to provide the Services, maintain accounts, complete transactions, support campaigns, preserve business and financial records, resolve disputes, enforce our agreements, comply with legal obligations, and maintain appropriate backup, archival, fraud-prevention, and security processes. Customer Content, Recipient Data, and Persona Data are generally retained for the duration of the applicable customer relationship and for a limited period thereafter consistent with our retention schedules, backup cycles, security practices, and legal obligations. Unless a longer period is required or permitted by law, or otherwise agreed in writing, the Company generally does not undertake to retain such data beyond twenty-four (24) months following account termination or completion of the applicable intended use. Where deletion is requested or required, data may remain in routine backups or archived systems until overwritten or deleted in the ordinary course of business.

 

12.  Data Security. 

The Company uses commercially reasonable administrative, technical, and physical safeguards designed to protect Personal Information against unauthorized access, acquisition, disclosure, alteration, loss, and misuse. These measures may include encryption in transit and, where appropriate, at rest; access controls; authentication measures; logging and monitoring; vendor management; environment segregation; and security review and incident response processes. Notwithstanding the foregoing, no system, platform, transmission method, or storage environment can be guaranteed to be completely secure, and the Company does not warrant that unauthorized access, disclosure, alteration, or destruction will never occur. You are responsible for maintaining the confidentiality of your credentials and for promptly notifying us of any actual or suspected unauthorized use of your account or the Services.

 

13.  International and Cross-Border Data Transfers. 

The Company is headquartered in the United States (State of Florida), and Personal Information may be stored, accessed, processed, and transferred in the United States and other jurisdictions in which the Company, its affiliates, or its service providers operate. Those jurisdictions may have data protection laws that differ from those of your state, province, or country of residence. Where required by applicable law, the Company will implement appropriate measures designed to protect Personal Information in connection with such transfers, which may include contractual safeguards, organizational controls, and other legally recognized transfer mechanisms.

 

14.  Your Privacy Rights and Choices. 

Subject to applicable law and verification requirements, you may have the right to request access to the Personal Information we maintain about you, request correction of inaccurate information, request deletion of certain information, request a copy of certain information in a portable format, object to or request restriction of certain processing, withdraw consent where processing is based on consent, and opt out of certain marketing communications. You may exercise marketing choices by using the unsubscribe link contained in an email or by contacting us using the contact information provided below. If we process your information on behalf of one of our business customers, we may direct your request to that customer or act only on that customer’s instructions as required by our contractual obligations and applicable law.

 

15.  California and Other U.S. State Privacy Disclosures. 

If you are a California resident, or a resident of another U.S. state that grants consumer privacy rights, you may have rights under applicable law to know the categories of Personal Information collected, the sources from which it is collected, the business or commercial purposes for which it is used, the categories of third parties to whom it is disclosed, and the specific pieces of Personal Information we hold about you; to request correction or deletion of certain Personal Information; to obtain a portable copy of certain information; to limit the use of certain sensitive Personal Information where required by law; to opt out of the sale or sharing of Personal Information where such rights apply; and to be free from unlawful discrimination for exercising privacy rights. During the preceding twelve (12) months, depending on the nature of the relationship, the Company may have collected identifiers, contact information, commercial information, account and authentication information, internet and electronic activity data, professional or employment-related information, communications content, audio, visual, and similar electronic information, customer campaign data, recipient data, inference data, and certain sensitive information such as account credentials and, where voluntarily provided for the Services, certain likeness, voice, or biometric-related information. We may disclose such categories to affiliates, service providers, professional advisers, applicable customers, authorities, and corporate transaction counterparties for the purposes described in this Policy. To submit a verifiable privacy request, you or your authorized agent may contact us using the information below.

 

16.   Requests Relating to Persona Data and Customer-Controlled Content. 

Where Persona Data, Recipient Data, or other Customer Content has been uploaded or supplied by or on behalf of one of our customers for use in the Services, the Company may not be in a position to independently verify, modify, or delete that information except in accordance with the applicable customer’s instructions, our contractual obligations, and applicable law. If you believe your likeness, voice, video, contact information, or other Personal Information has been used in connection with a customer campaign and you wish to make an inquiry, correction request, deletion request, or objection, you should contact the applicable customer that originated the communication, although you may also contact the Company and we will review the matter and respond as appropriate under applicable law and our contractual obligations.

 

17.   Children’s Privacy.

The Services are intended for business and commercial use and are not directed to children under the age of thirteen (13). The Company does not knowingly collect Personal Information directly from children under 13 through the Services. If we learn that we have collected Personal Information directly from a child under 13 without legally sufficient authorization, we will take commercially reasonable steps to delete that information as required by applicable law.

 

18.   Third-Party Sites, Platforms, and Services. 
The Services may contain links to third-party websites, integrations, platforms, communication channels, or services that are not owned or controlled by the Company. This Policy does not apply to the privacy, security, or information practices of those third parties. We encourage you to review the privacy notices and terms of any third-party service you access or use in connection with the Services, as the Company is not responsible for the content, policies, or practices of third parties except to the extent expressly required by applicable law.

 

19.   Changes to This Policy.

The Company may revise this Policy from time to time to reflect changes in the Services, our business practices, legal requirements, or operational needs. When we make material changes, we will post the updated Policy on the applicable website or Service and update the “Effective Date” below. Where required by law, we will also provide additional notice or obtain consent. Your continued use of the Services after the effective date of an updated Policy constitutes your acknowledgment of the revised Policy to the extent permitted by applicable law.
